Joseph R. Gomez is an experienced business lawyer who practices in the area of general corporate and transactional law, including LLC, tax law, mergers and acquisitions, corporate and securities law, entity formations and restructurings, shareholder disputes, commercial loan transactions, joint venture transactions, and private equity transactions. A significant part of Joe’s practice involves dealing with the issues routinely encountered by entrepreneurs and small to mid-size companies.

Joe has been recognized as a leading business lawyer. He was recently named for inclusion in The Best Lawyers in America® 2019 Edition. He has been named a Florida Legal Elite™ by Florida Trend Magazine and a Florida Super Lawyer® by Super Lawyers Magazine. In 2013, Joe was named a finalist for Top Dealmaker of the Year by the Daily Business Review in recognition of closing one of South Florida’s biggest and most complex business deals of the year. More recently, in the March 6, 2019 edition of the Daily Business Review, he was featured in an article in the Deal Maker section for closing an $86 million loan transaction. 

Prior to joining the Firm, Mr. Gomez was a Partner in the Miami office of the national firm of Boies, Schiller & Flexner LLP, where he was a member of the firm's Corporate & Tax Group. He began his legal career with the Chicago firm of Karon, Morrison and Savikas, LLP.

NOTABLE CLIENT WORK

• Represented an FAA certified aviation repair business in the sale of the company to a NYSE publicly traded company  

• Represented an electric water heater manufacturer in a sale of the company to The Riverside Company, a global private equity firm

• Represented a manufacturer of outdoor furnishings in the sale of all its assets to a manufacturer of umbrella and cabana structures

• Represented a gastroenterological ambulatory and surgical center in the sale of the center to one of the largest gastroenterological practice groups in Florida

• Represented a television station in the sale of substantially all its assets including its premium leased access channels 

• Represented a privately held company in corporate aspects of its sale of 2 buildings on Times Square for $102 million

• Represented a Czech private equity firm in the sale of its interest in the historic downtown Miami Capital Lofts building

• Represented a privately held media company in a joint venture with the world’s leading rental car company for the supply of content loaded hand held video devices

• Represented a group of developers in a private placement offering of limited partnership interests in connection with the development of a $48 million retail and office condominium project

• Represented a privately held medical device company in various rounds of preferred stock investments by a venture capital firm

• Represented a retail complex in a $26 million refinancing of real estate debt
