Joseph R. Gomez is a partner residing in our Coral Gables office, where he focuses his practice in the areas of corporate, securities, and tax law, and commercial transactions. Throughout his career, Mr. Gomez has enjoyed representing a wide range of individuals, entrepreneurs, and companies, large and small, in their important legal matters, including representations involving entity formations and restructurings, purchases and sales of businesses, contract negotiations, partnership, LLC, and joint venture transactions, private equity and private placement transactions, domestic and international tax planning, IRS tax disputes, estate planning, financing and real estate transactions.
Prior to joining the Firm, Mr. Gomez was a Partner in the Miami office of the AM Law 100 law firm of Boies, Schiller & Flexner LLP, where he was a member of the firm's Corporate & Tax Group. Prior to joining Boies, Schiller, he was a Partner in the Miami firm of Zack, Kosnitzky, P.A. He began his legal career with the Chicago firm of Karon, Morrison and Savikas, LLP.

- Represented a privately held company in corporate aspects of its sale of 2 buildings on Times Square for $102 million
- Represented a privately held media company in a joint venture with the world’s leading rental car company for the supply of content loaded hand held video devices
- Represented large private equity firms in a variety of tax matters, including pre-IPO tax planning, investment restructurings in cross border transactions, and portfolio investments in CFCs and PFICs
- Represented the seller in the sale of a furniture manufacturing company for $14 million to a private equity firm
- Represented an automobile dealer in a $20 million reverse 1031 tax-free exchange
- Represented a professional baseball player in an IRS Tax Court dispute obtaining a substantial reduction of taxes and penalties owned to the IRS
- Provided tax planning advice to the purchaser of a cooperative housing corporation in connection with its stock purchase of the cooperative for $510 million
- Represented a major real estate developer in capital gains tax and state documentary stamp tax planning
- Represented a group of developers in a private placement offering of limited partnership interests in connection with the development of a $48 million retail and office condominium project
- Represented an automobile products manufacturer in a sale of all its assets for $30 million to a privately held Japanese company
- Represented a privately held automobile parts manufacturer in a cross border joint venture with a publicly held South Korean metals manufacturer
- Represented a privately held medical device company in various rounds of preferred stock investments by a venture capital firm
- Represented a newly formed private equity fund in a $10 million private placement offering
- Representing one of the nation’s largest home builders in a state documentary stamp tax dispute with the Florida Department of Revenue arising from inter-company real estate transfers
- Represented a retail complex in a $26 million refinancing of real estate debt
